Contractual Framework for Enterprise Partners

These Terms of Service ("Agreement") govern the access and use of the Sumitra Global Realty (SGR) platform and management infrastructure. By initializing an account or integrating our API, you ("Client" or "Partner") agree to be legally bound by these terms. SGR is a professional B2B service and does not offer consumer-grade accounts.

1. Provision of Service

SGR provides a specialized marketplace and technical infrastructure for the management of short-term rental properties. The Service includes automated guest authorization, IoT lock synchronization, and transactional communication layers. SGR reserves the right to modify technical specifications to ensure network stability and delivery integrity.

2. Account Integrity & Verification

To access the SGR grid, Clients must undergo a strict vetting process:

  • Clients must provide valid corporate credentials and proof of property management authority.
  • All administrative accounts require Double Opt-In (DOI) verification.
  • API keys are issued only after a compliance review of the Client’s intended notification workflow.

3. Communication & Anti-Abuse

The Client acknowledges that SGR’s reputation with ISPs and mail-relay providers is a critical asset. Therefore:

  • The Client shall only send Transactional Notifications (e.g., access codes, check-in instructions, receipts).
  • Marketing, promotional, or "cold" outreach is strictly prohibited and constitutes a material breach of this Agreement.
  • The Client warrants that every recipient has an active contractual relationship with the Client and has consented to receive operational alerts.

4. IoT & Physical Access Security

SGR provides the logic for smart-lock code generation. While we ensure the encrypted delivery of these credentials, the Client remains responsible for the physical security of the property and the manual override protocols. SGR is not liable for hardware failures at the property site.

5. Data Privacy & Compliance

Both parties agree to comply with applicable data protection laws, including the CCPA and Delaware privacy standards. Client PII and Guest data are processed solely to fulfill the operational requirements of the rental stay. SGR will never monetize or share Guest data with third-party advertisers.

6. Payment Terms & Credits

Service is provided on a subscription or per-transaction basis as defined in the Partner Dashboard. All fees are non-refundable, as they cover the reservation of dedicated infrastructure resources. Late payments may result in immediate suspension of API access to prevent system debt.

7. Limitation of Liability

SGR provides its infrastructure on an "as-is" and "as-available" basis. We do not guarantee that the service will be uninterrupted, although we strive for 99.99% uptime. In no event shall SGR be liable for indirect, incidental, or consequential damages, including loss of rental income.

8. Termination of Service

SGR may suspend or terminate access immediately if:

  • The Client violates the Acceptable Use Policy (AUP).
  • Spam complaint ratios exceed the enterprise threshold (0.08%).
  • The Client engages in activities that threaten the stability of the SGR global grid.

9. Governing Law

This Agreement is governed by the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in New Castle County, Delaware.
